7. Intellectual Property Rights

We retain ownership of pre-existing materials, general methodologies, and tools used in delivering services. We may continue to use these in serving other clients.

7.3 Client Data

Clients retain all rights to their data provided to us. We use Client data solely for the purpose of delivering services and as permitted under our Privacy Policy and service agreements.

8. Confidentiality

We recognize that in providing services, we may have access to confidential information about your business, users, and operations. We commit to:

• Maintaining the confidentiality of all Client information
• Using confidential information solely for the purpose of delivering services
• Implementing appropriate security measures to protect confidential information
• Not disclosing confidential information to third parties except as necessary to deliver services or as required by law

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. If services fail to meet this standard, we will, as our sole obligation and your sole remedy, re-perform the deficient services at no additional cost.

9.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN SERVICE AGREEMENTS:

• SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DO NOT WARRANT THAT RECOMMENDATION SYSTEMS WILL ACHIEVE SPECIFIC BUSINESS OUTCOMES OR PERFORMANCE METRICS
• WHILE WE APPLY INDUSTRY BEST PRACTICES, WE CANNOT GUARANTEE THAT SYSTEMS WILL BE ERROR-FREE OR OPERATE WITHOUT INTERRUPTION
• WE ARE NOT RESPONSIBLE FOR OUTCOMES RESULTING FROM CLIENT'S USE, MODIFICATION, OR IMPLEMENTATION OF DELIVERABLES

Recommendation system performance depends on multiple factors including data quality, user behavior, and implementation context, many of which are outside our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY MALAYSIAN LAW:

• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO SERVICES SHALL NOT EXCEED THE FEES PAID BY CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION
• WE ARE NOT LIABLE FOR DAMAGES RESULTING FROM CLIENT'S USE OR INABILITY TO USE DELIVERABLES, OR FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF DELIVERABLES

These limitations apply regardless of the legal theory on which claims are based and whether or not we have been advised of the possibility of such damages.

11. Indemnification

Client agrees to indemnify, defend, and hold harmless curatiixxs and its officers, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Client's breach of these Terms or any service agreement
• Client's violation of any law or regulation
• Client's use or implementation of deliverables
• Claims that Client data infringes third-party rights
• Negligence or willful misconduct by Client

12. Term and Termination

12.1 Term

Individual service engagements continue for the duration specified in the service agreement. These Terms remain in effect for as long as you use our website or have an active service engagement with us.

12.2 Termination by Either Party

Either party may terminate a service agreement as provided in that agreement. Termination terms, including notice periods and consequences, are specified in individual service agreements.

12.3 Effect of Termination

Upon termination:

• Client remains obligated to pay for services rendered up to the termination date
• We will provide deliverables completed as of the termination date
• Confidentiality obligations survive termination
• Provisions regarding intellectual property, warranties, and limitations of liability survive termination

13. Governing Law and Dispute Resolution

These Terms and any service agreements are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

In the event of any dispute arising from these Terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If negotiations fail, disputes may be resolved through mediation before resorting to litigation.
